I Am A Fan provides an audience-validation platform for films and story-driven projects, providing fan feedback, memberships, other creator-side services, and promoting related live events (“Services”). Neither any feature of the website nor any Services is an investment; the Website and Services provide promotion of user content, membership, and recognition only, and paid status never affects the demand count. Feedback is never inflated or invented; feedback milestones serve only as evidence of audience appeal and demand and are not a promise of production, financing, distribution, or representation of any kind. I Am A Fan is about validation, not ownership.

Account Creation

Providing feedback for User Content consisting of film/story projects only requires a current and active email address and email verification of said email address.

User submission of User Content consisting of film/story projects or purchasing any of the Services requires you to first register for an account (“Account”). A user is limited to a maximum of one Account. A single user may not create more than one Account using multiple email addresses.

You agree to provide accurate, current, and complete information during the registration process, and to update such information to keep it accurate, current, and complete. If you create an Account, you are responsible for maintaining the confidentiality of your Account and password, and for restricting access to your computer or device, and you agree to accept responsibility for all activities that occur under your registration, username, password, and/or Account. We, therefore, urge you not to share your Account credentials with anyone. We may, in our sole discretion, terminate your password, account (or any part thereof) or use of the Website at any time and for any or no reason. I AM A FAN will not be liable to you or any third party for any termination of your access to the Website. If your status as a user of this Website is terminated, you will (i) stop using the Website and any information obtained from the Website, and (ii) destroy all copies of your account information, password and any information obtained from this Website.

Use of Account; Risk of Loss

I AM A FAN reserves the right to refuse service, cancel product or service orders, terminate accounts, or remove or edit content, in its sole discretion. You agree that you will only create one Account. You may not sell, assign, or transfer your Account or any purchased Services.

If you use an I AM A FAN Account, you agree, represent and warrant that you will provide us with true, current, complete, and accurate information in connection with your use of the Website and the Services.

You agree that you will maintain and honor the integrity of the I Am A Fan and its User Content. You agree that you will not engage, assist, or otherwise allow User Content feedback manipulation or distortion. You agree that you will not provide, allow, or otherwise enable any automated, purchased, incentivized, or duplicative feedback on User Content consisting of film/story projects.

You also represent that you are using your Account for a lawful purpose – you may not use your account or the Website or Services for the purpose of committing or furthering fraudulent acts or for committing any acts that would give rise to either or both civil and criminal liability. You also agree to notify us immediately of any unauthorized access to or use of your account.

You agree not to access the Website by any means other than through a commercially available web browser.

You are not permitted to upload material onto the Website that you know or should know infringes on the intellectual property rights of others, and you may not upload material that places unnecessary load so as to affect the performance of the Website, or I AM A FAN’s systems and equipment. You may not record, scrape, or otherwise download User Content consisting of film/story projects unless that functionality is directly and explicitly provided by the Website.

You may not use the Website or the Services in a manner that could block access to, impair, damage, or otherwise disable I AM A FAN or any of our servers. You may not attempt to gain unauthorized access to the Website or to any other user’s accounts, computer systems, or networks through password mining, keystroke logging, hacking, or any other means. You will not upload any files that contain viruses, Trojan horses, malware, spyware, worms, corrupted files, or any other material or software that may damage the operation of another computer or use of the Website by another user. User Content

We offer you the opportunity to contribute your film/story projects and feedback to the Website (collectively, the “User Content”). User Content consisting of film/story projects is private and only visible to you and only publicly shared when you wish for your User Content to be shared; this User Content may only be shared publicly with an Account.

You shall not (nor cause any third party to) use the Website or information provided through the Website to perform any illegal activities (including, without limitation, defaming, abusing, harassing, stalking, threatening or otherwise violating the legal rights, such as rights of privacy, of others), immoral activities, or any of the following types of activities, as deemed by I AM A FAN, or distribute or publish User Content featuring said activities:

Disseminating libelous, harmful, vulgar, pornographic, obscene, or otherwise objectionable material, as deemed by I Am A Fan in its sole discretion;
Containing exploitative nudity or violence or offensive subject matter, as deemed exploitative or offensive by I Am A Fan in its sole discretion;
Promoting racism, prejudice, bigotry, hatred, harassment, or physical harm of any kind against any individual, group, or individuals;
Promoting illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

Moreover, in connection with use of the Website and Services, you agree that you shall not:

Transmit or distribute information that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, person, or entity;
Use any computer code, data mining software, “robot,” “bot,” “spider,” “scraper” or other automatic device, or program, algorithm or methodology having similar processes or functionality, or any manual process, to monitor or copy any of the Website pages, data, or content found on the Website or accessed through the Website;
Transmit any material that contains software viruses, trojan horses, worms, time bombs, cancelbots, or any other computer code, files, or programs which may interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

Further, you agree that User Content feedback areas of the Website are not the appropriate channel to express individual concerns or specific user support issues. You agree to evaluate and assume all risks associated with the use of User Content, including without limitation any risk relating to any reliance on the accuracy, completeness, or usefulness of User Content. We assume no responsibility for User Content.

You agree to abide by all applicable local, state, and federal laws and regulations and are solely responsible for all acts or omissions that occur under your Account or password, including without limitation any User Content you create or upload. You acknowledge that User Content is not endorsed by I AM A FAN and such User Content should not be considered to have been reviewed, screened, or approved by I AM A FAN. You should exercise discretion before relying on information contained in User Content. We may, in our sole discretion, remove any User Content at any time and for any or no reason. I AM A FAN will not be liable to you or any third party for any deletion of any User Content on the Website. You acknowledge that we may preserve and disclose User Content if required to do so by law or we believe in good faith that such preservation or disclosure is reasonably necessary to comply with legal process, enforce these Terms, respond to a claim that User Content violates any third party’s rights, or protect the right, property or personal safety of I AM A FAN, any users of the Website, or the public. You also acknowledge that the technical processing and transmission of the Website, including without limitation User Content, may involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices.

Submitted Materials

Please note that the transmission of confidential, sensitive, privileged and/or financial information via email is not secure. Payment information should also be provided in dedicated payment sections of the Website. Unless specifically requested, I AM A FAN does not wish to receive any confidential, proprietary, or trade secret information from you via the Website (including via contact email made available on the Website).

If you send or provide I AM A FAN any User Content, information, or creative works including, without limitation, idea submissions, suggestions, business plans, concepts or demos in any media including photographs, graphics, audiovisual media or other material (“Submitted Material”), you grant I AM A FAN a limited, revocable, royalty-free, worldwide, non-exclusive, and fully transferable, assignable, and sublicensable right and license to use, copy, reproduce, modify, adapt, print, publish, translate, create derivative works from, create collective works from, and distribute, perform, display, license and sublicense (through multiple levels) the Submitted Material in any media now known or hereinafter invented, including for commercial purposes. If you send I AM A FAN any Submitted Material, you also warrant that the Submitted Material is not confidential or secret and that the Submitted Material is owned entirely by you. If you send I AM A FAN any Submitted Material, you warrant that you have all rights necessary (including rights of privacy and rights of publicity) to authorize I AM A FAN to use Submitted Material as permitted by the license in this Section and promote and feature the Submitted Material on the Website.

User Content selected for revocation and removal from the Website may require up to thirty (30) days for removal from the Website.

You shall not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Submitted Material. We may, but shall not be obligated to, remove, or edit any Submitted Material (including any feedback) for any reason.

Limitation of Liabilities

In accordance with the Digital Millennium Copyright Act (“DMCA”), the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, I AM A FAN will respond expeditiously to notices of alleged copyright infringement that are duly reported to its Designated Copyright Agent identified in the notice below. I AM A FAN will disable and/or remove access to the Website for users who are repeat infringers. If you believe that your content has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide I AM A FAN’s Copyright Agent the following information:

Refund Policy

Generally, all fees and charges are nonrefundable. However, fan membership fees are refundable if requested within 14 calendar days of purchase; AI Readiness Reports are fully refundable before analysis begins, with no refunds following the commencement of the analysis; Analysis or Advisory sessions are refundable if cancelled at least 24 hours prior to said session; event tickets are refundable pursuant to the event listing or until 48 hours prior to the commencement of the event if the event listing is silent on refunds.

The foregoing refund policy is subject to change based on, and to the extent required by, the laws applicable in your jurisdiction.

Termination

I AM A FAN reserves the right, in its sole discretion, to restrict, suspend, or terminate these Terms of Use and your access to all or any part of the Website or the Content or Services, at any time and for any reason without prior notice or liability. You may terminate these Terms of Use by discontinuing your use of the Services and access to the Website. I AM A FAN also reserves the right, in its sole discretion, to cease providing the Services and this Website at any time.

Severability

If any provision of these Terms is held in whole or in part to be invalid, void, or unenforceable in any jurisdiction for any reason, the remainder of that provision and of the Terms will be severable and remain in full force and effect.

General

These Terms of Use will be governed by the laws of the State of Texas, without reference to its choice-of-law rules. The exclusive jurisdiction and venue for any action under these Terms of Use will be in the state and federal courts of Texas. You hereby accept the personal jurisdiction of such courts. You may not assign any rights granted to you or delegate any of your duties hereunder and any attempt to do so is void and of no effect.
