I AM A FAN Content Submission Terms

By submitting content (including, but not limited to, screenplays, treatments, pitch materials, synopses, titles, characters, videos, trailers, clips, images, one sheets, and any other written or visual materials you choose to submit) (“Content”) to the I AM A FAN website (https://www.iamafan.com)(“Website”), owned and operated by I AM A FAN, LLC (“I AM A FAN”), and utilizing I AM A FAN’s project evaluation, membership, and readiness services (“Services”) and/or to allow Website users to evaluate your Content (“Evaluation”), you agree to the following terms and conditions:

Full Legal Terms:

1. Content Submission/License/Use: In submitting your Content to the Website, you are granting I AM A FAN a limited, revocable, royalty-free, worldwide, non-exclusive, and fully transferable, assignable, and sublicensable right and license to use, copy, reproduce, modify, edit, adapt, print, publish, translate, create derivative works from, create collective works from, and distribute, perform, display, license and sublicense (through multiple levels) your Content in any media now known or hereinafter invented, including for commercial purposes, but only as may be reasonable or necessary to provide the Services, allow Website users to conduct Evaluations, and otherwise allow I AM A FAN to operate and market the Services and Website as intended. Absent a separate agreement directly between you and I AM A FAN, and subject to Paragraph 5 below, this license is not intended to allow or permit I AM A FAN to independently develop, produce, or exploit your Content except in connection with providing the Services, conducting the Evaluations, and operating and marketing the Website. You also acknowledge and agree that as a part of the foregoing, I AM A FAN may upload, evaluate, and use your Content in connection with artificial intelligence, machine learning, or other automated systems (“AI Tools”) as part of the Services you request. The license granted herein shall include a limited, revocable, royalty-free, worldwide, non-exclusive license for users of the Website to review your Content in connection with making Evaluations.
2. Term/Termination/Obligations: The “Term” of these Content Submission Terms shall commence when you upload or submit any of your Content to the Website and continue until you voluntarily remove your Content from the Website, you discontinue your use of the Services, or I AM A FAN, for any reason, elects to terminate by discontinuing your access to the Website, removes your Content, or ceases providing the Services and the Website. In the event of termination of these Content Submission Terms by either party: (i) I AM A FAN may, but has no obligation to, retain your Content in Website server backups and other automated processes for up to two (2) years after termination, so long as such uses do not make your Content publicly available on the Website; and (ii) I AM A FAN will use good faith efforts to remove any of your Content from marketing materials for the Website and the Services as soon as commercially practicable. Notwithstanding anything to the contrary in these Content Submission Terms, and except as otherwise agreed as part of your purchase of Services or a Website membership, submission of your Content does not create an obligation on I AM A FAN to use, evaluate, publish, or otherwise promote your Content.
3. Content Ownership: You will retain all right, title, and interest in the ownership of your Content, and I AM A FAN will not claim any rights in and to your Content other than the limited licensed rights granted in Paragraph 1 above. As part of the Services, I AM A FAN may provide feedback related to your Content (including, but not limited to, comments, questions, suggestions, Evaluation summaries, or the like) (“Feedback”). You are free to use any Feedback without restriction or obligation to I AM A FAN.
4. Accessibility of Your Content: You acknowledge that by uploading your Content to the Website, your Content will not be held confidential and will be viewable by Website users, I AM A FAN, and I AM A FAN’s parent, officers, directors, employees, agents, contractors, and licensees. You accept all risks that third parties may use, steal, or copy your Content and/or make works similar to your Content, notwithstanding any platform rules that I AM A FAN may promulgate for such Website users.
5. Disclaimers: I AM A FAN MAKES NO REPRESENTATION AS TO THE COMPLETENESS, ACCURACY OR CURRENCY OF ANY INFORMATION ON THE WEBSITE OR AS PROVIDED TO YOU AS A PART OF THE SERVICES AND/OR EVALUATIONS (INCLUDING, BUT NOT LIMITED TO, THE OUTPUTS OF ANY AI TOOLS). ALL SERVICES, EVALUATION, FEEDBACK, INFORMATION, AND GUIDANCE PROVIDED BY I AM A FAN IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR THE PRODUCTS, INFORMATION OR SERVICES PROVIDED THROUGH OR IN CONNECTION WITH THE WEBSITE AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, EXPECTATIONS OF PRIVACY, OR NON-INFRINGEMENT. PROJECT EVALUATION AND THE SERVICES ARE PROVIDED ON A SUBJECTIVE BASIS AND FOLLOWING ANY ADVICE OR GUIDANCE PROVIDED BY I AM A FAN DOES NOT PROMISE OR GUARANTEE ANY FORM OF SUCCESS, COMMERCIAL VIABILITY, OR COPYRIGHTABILITY FOR YOUR CONTENT OR PROJECT.
6. Similar Ideas and Projects: You acknowledge that I AM A FAN receives numerous submittals of, among other things, ideas, formats, stories, and suggestions, and that many such submittals, either previously or hereafter received by I AM A FAN, are similar or identical to those developed by or otherwise available to I AM A FAN. Consequently, you recognize that your Content submitted hereunder likewise may be so similar or identical. You understand and agree that I AM A FAN does not guarantee exclusivity for ideas and concepts, and does not evaluate your Content against any other content submitted by any third party which features elements similar or identical to those contained in your Content. Acceptance and/or use of your Content on the Website or in connection with any Services or Evaluations provided by I AM A FAN does not constitute any representation or waiver of any rights that I AM A FAN possesses in its own intellectual property or as a member of the general public, and further does not constitute an opinion or representation as to whether the Content infringes on any third parties’ intellectual or other property rights. Submission of your Content does not create a confidential, fiduciary, agency, or employment relationship, partnership, or joint venture between the parties.
7. Representations and Warranties: You represent and warrant that: (i) you have the full right and power to enter into this agreement and grant the rights granted to I AM A FAN herein; (ii) you are at least 18 years of age or older; (iii) you are the sole owner and author of your Content and, therefore, have the full right to submit it to I AM A FAN upon the terms and conditions stated herein; and (iv) your Content does not violate any right of privacy or constitute a defamation of any person, firm, or corporation, and does not infringe upon the copyright or any other right of any person, firm, or corporation.
8. Indemnity: You agree to indemnify, defend, and hold I AM A FAN harmless from and against any and all claims, demands, expenses, losses or liabilities (including reasonable attorneys’ fees and costs) that may be asserted against I AM A FAN arising out of: (i) the upload of your Content to the Website and I AM A FAN’s use of your Content as permitted herein; (ii) any breach of your representations, warranties, and other agreements in these Content Submission Terms; and (iii) any third party infringement, use, and/or theft of your Content (including, but not limited to, as a result of its availability to users of the Website). I AM A FAN reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify I AM A FAN, and you agree to cooperate with our defense of such claims.
9. Existing Terms: You acknowledge and agree that I AM A FAN’s Terms and Conditions of Use (located at https://www.iamafan.com/terms)(“TOU”) and Privacy Policy (located at https://www.iamafan.com/privacy)(“Privacy Policy”) shall apply hereto and are incorporated herein by this reference. To the extent that the terms of either the TOU or the Privacy Policy conflict with these Content Submission Terms with respect to use of the Website, Services, and/or Evaluation as contemplated herein, these Content Submission Terms will control. All defined terms used but not defined herein shall be given the same meanings as set forth in the TOU or Privacy Policy, as applicable.
10. Survival: Paragraphs 2, 4, 6, 7 and any other terms which by their nature should survive the termination or expiration of these Content Submission Terms will survive such termination or expiration. You and I AM A FAN may terminate these Content Submission Terms as provided in Paragraph 2.
